Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of MyOpNote.AI (the “Service”), operated by Midwest Cardiothoracic Consultants LLC (“MyOpNote,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

MyOpNote.AI is a drafting aid that helps clinicians generate draft operative notes, brief operative notes, consult notes, and related coding and work-RVU information from information you provide. The Service produces drafts only. It does not practice medicine, provide medical advice, or make clinical or billing decisions.

3. Professional responsibility — drafts are not final

You are solely responsible for reviewing, correcting, and finalizing every note and all coding before it is entered into a medical record, submitted for billing, or otherwise relied upon. Coding and work-RVU suggestions are estimates that require your independent verification and do not guarantee reimbursement. The Service is a tool to assist licensed professionals; it is not a substitute for your clinical judgment.

4. De-identified use — no protected health information

The Service is designed to be used with de-identified information only. You agree not to enter, upload, or transmit Protected Health Information (PHI) or other identifiable patient information into the Service. You are responsible for de-identifying inputs before submission. The Service is not, in its current form, offered as a HIPAA-compliant service, and we do not enter into Business Associate Agreements at this time.

5. Eligibility and accounts

The Service is intended for licensed healthcare professionals and their authorized staff. You must provide accurate account information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 years old.

6. Subscriptions, billing, and cancellation

Paid plans are billed in advance on a recurring monthly basis through our third-party payment processor. By subscribing you authorize recurring charges to your payment method until you cancel. You may cancel at any time; cancellation takes effect at the end of the current billing period, and access continues until then. Except where required by law, fees are non-refundable. Prices and plan features may change with notice for future billing periods. Any free trial converts to a paid subscription at the end of the trial unless cancelled beforehand.

7. Your content

“Your Content” means the de-identified notes, templates, and inputs you provide. You retain ownership of Your Content. You grant us a limited license to host, process, and transmit Your Content solely to operate and improve the Service for you (for example, to generate drafts in your style). You represent that you have the right to submit Your Content and that it is de-identified.

8. Acceptable use

You agree not to misuse the Service, including by submitting PHI, attempting to breach security or access other users’ data, reverse engineering the Service, reselling access without authorization, or using the Service to generate false or fraudulent documentation. We may suspend accounts that violate these Terms.

9. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by MyOpNote and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DRAFTS, CODES, OR WRVU VALUES ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYOPNOTE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless MyOpNote from claims arising out of your use of the Service, your violation of these Terms, your submission of PHI in breach of Section 4, or your finalization, coding, or use of any note generated by the Service.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.

14. Changes

We may modify the Service or these Terms. If we make material changes, we will provide notice (for example, by posting an updated date or notifying you). Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. The exclusive venue for disputes is the state and federal courts located in Missouri.
